28th October 2014

Approval of a Special Resolution of Volunteer Centre Aberdeenshire to dissolve.

Dear Member,

As you are aware Volunteer Centre Aberdeenshire (VCA), Bridge CVS and CVS Aberdeenshire Central and South (CVSA) are to merge to form Aberdeenshire Voluntary Action.  To both simplify the merger process and reduce cost the company currently trading as CVSA will be utilised as a host vehicle for the new organisation with all VCA’s staff, business, assets & liabilities transferring on or about 1st December 2014. Applications are in hand with OSCR to obtain permission for the transfer of all assets remaining within the organisations VCA and Bridge CVS, after we cease trading on 30th November 2014 to the new organisation.  Part of the process requires that the Members of Volunteer Centre Aberdeenshire approve the winding-up of the company and transfer of assets to Aberdeenshire Voluntary Action.

NOTICE OF MEETING

A General Meeting of the  Membership of Volunteer Centre Aberdeenshire will be held within “The Community Room, Fire Station, Anderson Drive, Aberdeen” on Monday 17th November 2014 at 6:30pm to vote on the following Special Resolution.

RESOLUTION:                    Dissolution of Volunteer Centre Aberdeenshire

“It is proposed that Volunteer Centre Aberdeenshire be dissolved and on completion of the winding-up of the Company all property shall be transferred along with outstanding liabilities and assets on conclusion of dissolution in accordance with Article 8 of the Memorandum of Association to Aberdeenshire Voluntary Action (currently a trading name CVS Aberdeenshire Central and South) it having been determined that they have the necessary similar Charitable Purposes”.

In order to pass this resolution it requires that a 75% majority vote in favour of the above resolution as per the Charity’s Articles. For the avoidance of doubt, the reference to a 75% majority relates only to the number of votes cast in favour of the resolution as compared with the number of votes cast against the resolution, and accordingly no account shall be taken of abstentions or members absent from the meeting.

For such a resolution your participation is very important and we request that you either attend in person or appoint myself as Chair as a proxy in accordance with the attached document.

Please advise Ruth Clarke on 01467 626060 or by email to central@vcaberdeenshire.org.uk if you are available to attend. Proxy Forms may be returned by email as detailed above or by post to our Inverurie Office.

Opportunities to discuss or clarify the arrangements surrounding the resolution will be given ahead of the formal vote.

Your support to VCA since its inception has been greatly appreciated. Our Staff look forward to continuing to be of service as members of the integrated TSI team “Aberdeenshire Voluntary Action”.

With thanks and kind regards,

David Hekelaar
Convener

Chest Heart and Stroke Scotland improves the quality of life  for people in Scotland affected by chest, heart and stroke illness.

Volunteers are required throughout Aberdeenshire to support people who have had a stroke, helping them with communication difficulties through social group activities or outreach work in people's homes.  No previous experience is necessary as full training will be given.  CHSS volunteers come from all walks of life and make a real difference to people's lives while learning new skills, meeting people and working as part of a team.  The CHSS volunteering programme holds the prestigious "Investors in Volunteers" status.
