Approval of a Special Resolution of Volunteer Centre Aberdeenshire to dissolve.
As you are aware Volunteer Centre Aberdeenshire (VCA), Bridge CVS and CVS
Aberdeenshire Central and South (CVSA) are to merge to form Aberdeenshire Voluntary Action. To both simplify
the merger process and reduce cost the company currently trading as CVSA will be utilised as a host vehicle for the new organisation
with all VCA’s staff, business, assets & liabilities transferring on or about 1st December 2014. Applications
are in hand with OSCR to obtain permission for the transfer of all assets remaining within the organisations VCA and Bridge
CVS, after we cease trading on 30th November 2014 to the new organisation. Part of the process
requires that the Members of Volunteer Centre Aberdeenshire approve the winding-up of the company and transfer of assets to
Aberdeenshire Voluntary Action.
NOTICE OF MEETING
A General Meeting of the Membership of Volunteer Centre Aberdeenshire will
be held within “The Community Room, Fire Station, Anderson Drive, Aberdeen” on Monday 17th November
2014 at 6:30pm to vote on the following Special Resolution.
Dissolution of Volunteer Centre Aberdeenshire
is proposed that Volunteer Centre Aberdeenshire be dissolved and on completion of the winding-up of the Company all property
shall be transferred along with outstanding liabilities and assets on conclusion of dissolution in accordance with Article
8 of the Memorandum of Association to Aberdeenshire Voluntary Action (currently a trading name CVS Aberdeenshire Central and
South) it having been determined that they have the necessary similar Charitable Purposes”.
order to pass this resolution it requires that a 75% majority vote in favour of the above resolution as per the Charity’s
Articles. For the avoidance of doubt, the reference to a 75% majority relates only to the number of votes cast in favour of
the resolution as compared with the number of votes cast against the resolution, and accordingly no account shall be taken
of abstentions or members absent from the meeting.

in accordance with the attached document.
